12.1 Commercial Agreements
Access to the Service may require the Customer to purchase a subscription, license, implementation services, or other commercial offerings from Astute Verse.
The applicable fees, payment terms, subscription period, renewal terms, implementation services, and other commercial conditions are governed by the applicable Order Form, Master Services Agreement (MSA), Statement of Work (SOW), or other written agreement executed between Astute Verse and the Customer.
If there is any conflict between these Terms and an applicable written commercial agreement, the written commercial agreement will prevail.
12.2 Payment Obligations
Customers agree to pay all fees specified in the applicable commercial agreement in accordance with the agreed payment terms.
Unless otherwise specified in writing:
- All fees are payable in the currency specified in the applicable commercial agreement.
- Payments are due within the timeframe specified in the applicable invoice or commercial agreement.
- Failure to make timely payment may result in the suspension or termination of the Service, subject to the applicable commercial agreement and applicable law.
12.3 Taxes
Unless expressly stated otherwise, all fees exclude applicable taxes, duties, levies, and other governmental charges.
The Customer is responsible for paying all applicable taxes associated with its purchase or use of the Service, excluding taxes based on Astute Verse's income, property, or employment obligations.
Where required by applicable law, Astute Verse will collect and remit applicable taxes.
12.4 Payment Processing
Where electronic payment methods are offered, payments may be processed through trusted third-party payment providers.
Astute Verse does not store complete payment card information unless expressly stated and uses payment processors that maintain appropriate industry security standards.
The use of third-party payment services is subject to the applicable provider's terms of service and privacy policy.
12.5 Refunds
Unless otherwise provided in the applicable commercial agreement or required by applicable law:
- Fees paid are non-refundable.
- Partial subscription periods are not eligible for prorated refunds.
- Early termination by the Customer does not relieve the Customer of any payment obligations already incurred.
- Any approved refund will be processed in accordance with the applicable commercial agreement and, where applicable, the policies of the payment provider.
12.6 Suspension for Non-Payment
Astute Verse may suspend or restrict access to the Service if undisputed invoices remain unpaid beyond the applicable payment period, provided that reasonable prior notice has been given to the Customer, unless otherwise specified in the applicable commercial agreement.
Astute Verse is not liable for any loss, damage, or interruption resulting from a suspension implemented in accordance with these Terms or the applicable commercial agreement.
12.7 Changes to Pricing
Astute Verse may modify pricing, licensing models, or commercial offerings for future subscription periods.
Such changes will not affect the current subscription term unless otherwise agreed in writing.
Any pricing changes applicable to renewals will be communicated in accordance with the applicable commercial agreement.
13Suspension and Termination
Astute Verse may suspend, restrict, or terminate access to the Service in accordance with these Terms, any applicable commercial agreement, and applicable law. Such action may apply to individual Authorized Users, groups of users, specific Institutions, or entire Customer accounts, depending on the circumstances.
13.1 Suspension of Access
Astute Verse may temporarily suspend access to all or part of the Service where reasonably necessary to:
- Protect the security, integrity, or availability of the Service;
- Investigate suspected violations of these Terms or applicable agreements;
- Prevent unauthorized access, fraud, or misuse;
- Respond to security incidents or cyber threats;
- Perform emergency maintenance or implement critical security updates;
- Comply with applicable laws, regulations, court orders, or legal processes; or
- Protect the rights, safety, or property of Astute Verse, Customers, Authorized Users, or third parties.
Where reasonably practicable, Astute Verse will provide advance notice before a suspension. However, prior notice may not be possible where immediate action is required to address security risks, legal obligations, or emergency circumstances.
13.2 Suspension by the Institution
Institutions may:
- Create, modify, suspend, or revoke Authorized User accounts;
- Restrict Authorized User access in accordance with institutional policies;
- Remove users from classes, programs, or learning activities;
- Disable access following graduation, withdrawal, employment changes, or other institutional decisions; and
- Manage access in accordance with their internal governance procedures.
Astute Verse is not responsible for access management decisions made by the Institution.
13.3 Termination by the Customer
The Customer may terminate its use of the Service in accordance with the applicable commercial agreement.
Termination does not relieve the Customer of any payment obligations accrued before the effective date of termination unless otherwise agreed in writing.
13.4 Termination by Astute Verse
Astute Verse may terminate access to the Service where:
- The Customer materially breaches these Terms or any applicable commercial agreement;
- Payment obligations remain unpaid as provided in the applicable commercial agreement;
- Continued access creates significant security, legal, or operational risks;
- The Service is used for unlawful, fraudulent, or prohibited activities;
- Applicable laws or regulatory requirements prevent Astute Verse from continuing to provide the Service; or
- The applicable commercial agreement expires or is terminated without renewal.
Where the breach is capable of being remedied, Astute Verse may provide the Customer with a reasonable opportunity to cure the breach before terminating the Service, unless immediate action is necessary to protect the Service, comply with applicable law, or address a security concern.
13.5 Effect of Suspension or Termination
Upon suspension or termination:
- Access to the Service may immediately cease.
- Customer and Authorized User access credentials may be disabled.
- Institution-managed user accounts may become inaccessible.
- Some or all Service functionality may no longer be available.
- Customer Data will be handled in accordance with these Terms, the applicable commercial agreement, the Privacy Policy, the Data Sharing Policy, and applicable law.
Termination of the Service does not automatically require the deletion of Customer Data where retention is required by applicable law or an applicable commercial agreement.
13.6 Data Retrieval
Where provided under the applicable commercial agreement, the Customer may request the retrieval or export of Customer Data before its deletion or secure disposal.
Requests for data retrieval or export are subject to:
- The applicable commercial agreement;
- Technical feasibility;
- Applicable legal obligations; and
- Any agreed data retention schedule.
13.7 Surviving Provisions
Termination or expiration of these Terms does not affect provisions that, by their nature, are intended to survive, including:
- Intellectual Property;
- Confidentiality;
- Billing and outstanding payment obligations;
- User Content and Customer Data;
- Disclaimer of Warranties;
- Limitation of Liability;
- Indemnification;
- Governing Law and Dispute Resolution; and
- Any other provision that is intended to survive termination.
13.8 Reservation of Rights
Suspension or termination of access does not limit any other legal or equitable rights or remedies available to Astute Verse under these Terms, any applicable commercial agreement, or applicable law.
14Disclaimer of Warranties
The Service is designed to support educational instruction, learning, and administrative activities. While Astute Verse strives to provide a reliable, secure, and high-quality Service, the Customer acknowledges that no software, technology platform, or artificial intelligence system can guarantee uninterrupted availability, error-free operation, or specific outcomes.
14.1 Service Provided "AS IS"
Except as expressly provided in these Terms or an applicable written commercial agreement, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by applicable law, Astute Verse disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including, without limitation:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy;
- Availability;
- Reliability; and
- Uninterrupted or error-free operation.
14.2 Educational Use
The Service is designed to assist educational institutions by providing personalized learning experiences, instructional support, assessments, reporting, and administrative functionality.
The Service is not intended to replace:
- The professional judgment of teachers or educators;
- Educational decision-making by Institutions;
- Academic policies or administrative decisions established by the Institution;
- Human supervision of students; or
- Independent review of instructional or assessment outcomes.
Educational decisions remain the sole responsibility of the Institution and its educators.
14.3 Artificial Intelligence
The Service incorporates AI Features that generate instructional guidance, recommendations, summaries, explanations, assessments, and other educational outputs.
The Customer acknowledges that:
- AI-generated responses may contain inaccuracies, omissions, or outdated information.
- AI-generated outputs may vary based on context, user inputs, and available information.
- AI-generated content should be reviewed using appropriate educational and professional judgment before being relied upon for significant decisions.
- AI Features are intended to assist—not replace—human expertise and professional judgment.
14.4 Availability
Astute Verse does not warrant that:
- The Service will always be available.
- Access to the Service will be uninterrupted.
- The Service will be free from delays, interruptions, or errors.
- All defects will be corrected immediately.
- Every feature or integration will remain available indefinitely.
The availability of the Service may be affected by scheduled maintenance, emergency maintenance, upgrades, third-party service interruptions, internet or network disruptions, or events beyond Astute Verse's reasonable control.
14.5 Third-Party Services
Certain functionality of the Service may depend upon third-party providers, including cloud infrastructure providers, identity providers, payment processors, interoperability platforms, communication services, and AI service providers.
Astute Verse does not warrant the availability, compatibility, accuracy, performance, or continued operation of third-party products or services that are outside its reasonable control.
14.6 Customer Data
Astute Verse relies on Customer Data provided by the Customer and its Authorized Users.
Astute Verse does not warrant the completeness, accuracy, quality, or legality of Customer Data supplied by the Customer and is not responsible for errors, omissions, or outcomes resulting from inaccurate, incomplete, or outdated Customer Data.
14.7 Educational Outcomes
Although the Service is designed to support student learning through personalized instruction and AI-assisted educational functionality, Astute Verse does not guarantee:
- Student academic achievement;
- Assessment scores;
- Standardized test performance;
- Graduation;
- Admission;
- Certification;
- Learning mastery; or
- Any other specific educational outcome.
Educational outcomes depend upon numerous factors beyond the operation of the Service, including student participation, instructional quality, curriculum, educator involvement, institutional implementation, and other circumstances outside Astute Verse's reasonable control.
14.8 Legal Exceptions
Nothing in these Terms excludes or limits any warranty, guarantee, or statutory right that cannot lawfully be excluded or limited under applicable law.
Where applicable law provides mandatory consumer, educational, or other statutory rights, those rights remain unaffected.
15Limitation of Liability
To the fullest extent permitted by applicable law, Astute Verse's liability arising out of or relating to the Service or these Terms is limited as set forth in this Section.
15.1 Exclusion of Certain Damages
To the fullest extent permitted by applicable law, Astute Verse is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation:
- Loss of profits;
- Loss of revenue;
- Loss of business opportunities;
- Loss of anticipated savings;
- Loss, corruption, or unavailability of data;
- Loss of goodwill;
- Business interruption;
- Costs of obtaining substitute or replacement services; or
- Any other indirect or consequential losses,
whether arising in contract, tort (including negligence), strict liability, or otherwise, even if Astute Verse has been advised of the possibility of such damages.
15.2 Liability Cap
Except for liabilities that cannot be limited under applicable law, Astute Verse's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees paid or payable by the Customer to Astute Verse for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
If the Service is provided without charge or under a pilot program, proof of concept, trial, or evaluation license, Astute Verse's total aggregate liability is limited to the maximum extent permitted by applicable law.
15.3 No Liability for Educational Decisions
Astute Verse is not responsible for decisions made by:
- Educational institutions;
- Teachers;
- School administrators;
- District administrators;
- Parents or guardians; or
- Other Authorized Users,
based on reports, recommendations, analytics, assessments, or other outputs generated through the Service.
Educational and instructional decisions remain solely the responsibility of the Institution and its educators.
15.4 No Liability for Third-Party Services
Astute Verse is not liable for failures, interruptions, delays, inaccuracies, security incidents, or damages arising from:
- Third-party software;
- Identity providers;
- Learning Management Systems (LMS);
- Student Information Systems (SIS);
- Internet service providers;
- Cloud infrastructure providers;
- AI service providers;
- Payment processors; or
- Other third-party products or services beyond Astute Verse's reasonable control.
15.5 Customer Responsibility

- Misuse of the Service by the Customer or its Authorized Users;
- Unauthorized access resulting from compromised Customer credentials;
- The Customer's failure to maintain appropriate security measures;
- Inaccurate, incomplete, or outdated Customer Data;
- Customer configuration or integration errors; or
- Failure to follow applicable documentation or reasonable implementation guidance provided by Astute Verse.
15.6 Force Majeure
Astute Verse is not liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including, without limitation:
- Natural disasters;
- Acts of government;
- War;
- Terrorism;
- Civil unrest;
- Labor disputes;
- Public utility failures;
- Internet or telecommunications outages;
- Cyberattacks or other malicious acts by third parties;
- Pandemics or public health emergencies; or
- Any other event beyond Astute Verse's reasonable control.
15.7 Exceptions
Nothing in these Terms limits or excludes liability for:
- Fraud or fraudulent misrepresentation;
- Willful misconduct;
- Gross negligence, where such limitation is prohibited by applicable law;
- Death or personal injury caused by negligence where applicable law prohibits such limitation; or
- Any liability that cannot lawfully be excluded or limited.
15.8 Allocation of Risk
The Customer acknowledges that:
- The fees charged for the Service reflect the allocation of risk between the parties.
- The limitations of liability contained in these Terms form an essential basis upon which Astute Verse makes the Service available.
- Without these limitations, the commercial terms under which the Service is offered would be substantially different.
16Indemnification
16.1 Customer Indemnification
To the fullest extent permitted by applicable law, the Customer agrees to defend, indemnify, and hold harmless Astute Verse, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any third-party claims, demands, actions, proceedings, damages, judgments, settlements, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- The Customer's or any Authorized User's breach of these Terms or any applicable commercial agreement;
- The Customer's violation of any applicable law, regulation, or governmental requirement;
- The negligent, fraudulent, unlawful, or willful acts or omissions of the Customer or its Authorized Users;
- Customer Data or User Content that infringes, misappropriates, or otherwise violates the intellectual property, privacy, or other legal rights of a third party;
- The Customer's failure to obtain any required permissions, authorizations, notices, or parental consents;
- Misuse of the Service by the Customer or its Authorized Users; or
- Any breach of the Customer's representations, warranties, or obligations under these Terms.
16.2 Cooperation
Astute Verse will promptly notify the Customer of any claim for which indemnification is sought. A delay in providing notice does not relieve the Customer of its indemnification obligations except to the extent the delay materially prejudices the Customer's ability to defend the claim.
The Customer shall:
- Assume control of the defense and settlement of the claim using legal counsel reasonably acceptable to Astute Verse;
- Keep Astute Verse reasonably informed of the progress of the matter; and
- Cooperate with Astute Verse in the defense of the claim.
Astute Verse may participate in the defense of the claim using counsel of its own choosing at its own expense.
16.3 Settlement
The Customer must not settle any claim in a manner that:
- Admits fault on behalf of Astute Verse;
- Imposes any liability or obligation on Astute Verse;
- Restricts Astute Verse's business operations or intellectual property rights; or
- Requires Astute Verse to make any payment,
without Astute Verse's prior written consent, which will not be unreasonably withheld, conditioned, or delayed.
16.4 Exclusions
The Customer has no obligation to indemnify Astute Verse to the extent a claim results solely from:
- Astute Verse's fraud;
- Astute Verse's willful misconduct;
- Astute Verse's material breach of these Terms or any applicable commercial agreement; or
- Any circumstance for which indemnification is prohibited under applicable law.
16.5 Exclusive Remedy
To the fullest extent permitted by applicable law, and unless otherwise provided in an applicable written commercial agreement, this Section sets forth the parties' exclusive rights and obligations with respect to third-party claims subject to indemnification.
16.6 Written Agreements
If the Customer and Astute Verse have entered into a separate written agreement, including a Master Services Agreement (MSA), Data Processing Agreement (DPA), Order Form, or Statement of Work (SOW), the indemnification provisions of that agreement prevail to the extent of any inconsistency with this Section.
17Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws specified in the applicable commercial agreement between Astute Verse and the Customer.
If no separate written commercial agreement exists, these Terms are governed by the laws of the jurisdiction in which Astute Verse is legally incorporated, without regard to its conflict of law principles.
17.2 Good Faith Resolution
Before commencing formal legal proceedings, the parties agree to use commercially reasonable efforts to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good faith discussions between authorized representatives.
Nothing in this Section prevents either party from seeking temporary, preliminary, or permanent injunctive or other equitable relief where necessary to protect confidential information, intellectual property, security, or other rights that may be subject to irreparable harm.
17.3 Jurisdiction
Unless otherwise agreed in writing or provided in an applicable commercial agreement, any legal action or proceeding arising out of or relating to these Terms must be brought before a court of competent jurisdiction determined in accordance with the governing law identified in Section 17.1.
Each party irrevocably submits to the jurisdiction of those courts for the resolution of such disputes.
17.4 Written Commercial Agreements
If the Customer and Astute Verse have entered into a separate written agreement, including a Master Services Agreement (MSA), Data Processing Agreement (DPA), Order Form, Statement of Work (SOW), or other negotiated commercial agreement, the governing law, jurisdiction, arbitration, mediation, or dispute resolution provisions contained in that agreement will prevail to the extent of any inconsistency with this Section.
17.5 Compliance with Applicable Law
Nothing in these Terms limits either party's obligation to comply with applicable federal, state, local, or international laws and regulations relating to educational services, student privacy, data protection, accessibility, export controls, sanctions, or other applicable legal requirements.
18Miscellaneous
18.1 Entire Agreement
These Terms, together with the Privacy Policy, Data Sharing Policy, and any applicable commercial agreement (including any Master Services Agreement (MSA), Data Processing Agreement (DPA), Order Form, or Statement of Work (SOW)), constitute the entire agreement between the parties with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, negotiations, and communications relating to the same subject matter.
18.2 Order of Precedence
If there is any conflict between these Terms and a separately executed written agreement between Astute Verse and the Customer, the written agreement will prevail to the extent of the conflict.
Unless otherwise expressly stated in the applicable commercial agreement, the order of precedence is:
- Master Services Agreement (MSA), if applicable;
- Data Processing Agreement (DPA);
- Order Form or Statement of Work (SOW);
- These Terms; and
- The Privacy Policy and Data Sharing Policy.
18.3 Amendments
Astute Verse may update these Terms from time to time to reflect changes to the Service, applicable laws, or business operations.
Material changes will be communicated by posting the updated Terms on the applicable website or through other reasonable means.
Unless otherwise governed by an applicable written commercial agreement, continued use of the Service after the effective date of the revised Terms constitutes acceptance of those revised Terms.
18.4 Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
The invalid, illegal, or unenforceable provision will be interpreted, modified, or replaced to the minimum extent necessary to make it enforceable while preserving its original intent to the fullest extent permitted by applicable law.
18.5 No Waiver
A failure or delay by either party to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
Any waiver is effective only if made in writing and signed by an authorized representative of the party granting the waiver.
18.6 Assignment
The Customer may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under these Terms without Astute Verse's prior written consent, except in connection with a merger, acquisition, or transfer of substantially all of the Customer's assets, where permitted by applicable law.
Astute Verse may assign these Terms or any rights or obligations under these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other corporate transaction, provided that the assignment does not materially diminish the Customer's rights under these Terms.
18.7 Force Majeure
Neither party is liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) to the extent such delay or failure results from events beyond its reasonable control, including:
- Acts of God;
- Natural disasters;
- War;
- Terrorism;
- Civil unrest;
- Labor disputes;
- Government actions;
- Internet or telecommunications outages;
- Cyberattacks;
- Pandemics;
- Failures of public utilities; or
- Other events beyond the affected party's reasonable control.
The affected party will use commercially reasonable efforts to resume performance as soon as reasonably practicable.
18.8 Independent Parties
The relationship between Astute Verse and the Customer is that of independent contracting parties.
Nothing in these Terms creates or will be construed to create a partnership, joint venture, agency, fiduciary relationship, employment relationship, or other legal association between the parties.
18.9 Notices
Formal notices required under these Terms must be provided in writing and delivered by one or more of the following methods:
- Email to the designated contact address;

- Any other method agreed to in writing by the parties.

18.10 Electronic Communications

To the extent permitted by applicable law, such electronic communications satisfy any legal requirement that communications be provided in writing.
18.11 Export Compliance
The Customer agrees to comply with all applicable export control, sanctions, and international trade laws governing the use of the Service.
The Customer must not use, export, re-export, or otherwise permit the use of the Service in any manner that would cause Astute Verse to violate applicable export control or sanctions laws.
